Visionary Fund Terms and Conditions

Welcome to Visionary Fund (the "Platform"), a crowdfunding platform for personal growth and visionary projects. The following terms and conditions (the "Terms") govern the use of our Platform, including creating and managing campaigns, contributing to campaigns, and other related services offered on the Platform.

1. Eligibility

The Platform is only available to individuals and organizations who are able to form legally binding contracts under applicable law. By using the Platform, you represent and warrant that you are at least 18 years old and have the right, authority, and capacity to enter into these Terms.

1. Account Registration

To use the Platform, you must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.

1. Campaigns and Contributions

Campaign owners may create a campaign on the Platform to raise funds for personal growth and visionary projects. Campaign owners are solely responsible for the content and information they provide in their campaign, and for ensuring that the campaign complies with these Terms and all applicable laws.

Contributors may contribute to campaigns by making a donation. Contributions are non-refundable, and contributors should carefully consider the information provided in a campaign before making a contribution.

1. Fees

The Platform is free to use, and operates solely on donor tips. Visionary Fund does not charge any platform fees.

1. Intellectual Property

The content on the Platform, including text, photographs, videos, graphics, logos, and other materials, is protected by intellectual property rights. Campaign owners retain all rights to their content. Visionary Fund does not claim any ownership rights in the content posted on the Platform.

1. Disclaimer of Warranty

The Platform is provided "as is" without warranty of any kind, either express or implied, including without limitation any warranty for information, services, uninterrupted access, or products provided through or in connection with the Platform, including without limitation the software licensed to you and the results obtained through the Platform. Specifically, Visionary Fund makes no warranty that the Platform will be error-free or uninterrupted.

1. Limitation of Liability

In no event will Visionary Fund be liable for any damages, including without limitation direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with the Platform or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if Visionary Fund, or representatives thereof, are advised of the possibility of such damages, losses or expenses.

1. Indemnification

You agree to indemnify, defend, and hold harmless Visionary Fund and its affiliates, directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Platform.

1. Dispute Resolution

These Terms and any dispute arising out of or relating to the Platform will be governed by the laws of Canada, without giving effect to its conflict of law provisions. Any dispute between the parties will be resolved through binding arbitration in accordance with the Canadian Arbitration Association's rules.

4. Limitation of Liability: In no event shall Visionary Fund be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of the platform or a campaign.

5. Release of Claims: You agree to release Visionary Fund, its officers, employees, agents, and affiliates from any claims, demands, and damages of every kind and nature arising out of or in any way connected with your use of the platform.

6. Changes to Policy: Visionary Fund reserves the right to change this disclaimer and waiver of liability at any time without notice. Your continued use of the platform constitutes acceptance of any changes.

7. Governing Law: This disclaimer and waiver of liability shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Refund Policy

At Visionary Fund, we strive to provide a positive and fulfilling experience for all of our users, donors, and campaign organizers. However, we understand that there may be situations where a refund is requested.

Our platform operates on a “donor tip” model, where contributors can choose to leave a tip in addition to their donation. These tips are non-refundable and are used to support the operational costs of the platform.

For individual campaigns, it is the responsibility of the campaign organizer to handle any refund requests. If a donor requests a refund, they should contact the campaign organizer directly. The campaign organizer will then be responsible for providing a refund, if they choose to do so.

Visionary Fund is not responsible for any disputes between donors and campaign organizers regarding refunds. If a dispute arises, we recommend that the parties involved attempt to resolve the issue through direct communication and/or mediation.

Intellectual Property Policy

1. Introduction

Welcome to Visionary Fund's Intellectual Property Policy. This policy outlines the intellectual property rights and responsibilities of Visionary Fund and its users, including users who create campaigns on the Visionary Fund platform.

1. Ownership of Intellectual Property

All content created by Visionary Fund and appearing on the platform, including text, graphics, logos, icons, images, audio and video clips, digital downloads, data compilations, and software, is the property of Visionary Fund and is protected by Canadian and international copyright and trademark laws.

All content created by users and appearing on the platform, including campaign descriptions, images, and videos, is the property of the user and is protected by Canadian and international copyright and trademark laws. By submitting content to the platform, the user grants Visionary Fund a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, and display the content throughout the world in any media.

1. Use of Intellectual Property

Visionary Fund grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform and its content for personal and non-commercial purposes only. The use of any content for commercial purposes, or any other use that is not in accordance with this policy, is strictly prohibited.

Users are not allowed to use Visionary Fund's intellectual property or content for any unauthorized or unlawful purposes, including without limitation, the following:

• Using the content in any manner that infringes or violates the intellectual property rights of Visionary Fund or any third party

• Modifying, adapting, translating, or creating derivative works from the content

• Selling, sublicensing, leasing, renting, or transferring the content to any third party

• Decompiling, disassembling, reverse engineering, or otherwise attempting to discover the source code of the content or platform

• Removing any proprietary notices or labels from the content or platform

• Using the platform or content to create a competing platform or service

1. User Responsibility

Users are solely responsible for ensuring that the content they create and submit to the platform does not infringe or violate the intellectual property rights of any third party. Visionary Fund reserves the right to remove any content that it deems to be in violation of this policy and may terminate the user's account if it determines that the user has engaged in repeated intellectual property violations.

Fulfillment Policy

At Visionary Fund, we strive to provide our users with a seamless and satisfactory crowdfunding experience. However, we are not directly involved in the transactions between campaign creators and contributors. As such, it is the sole responsibility of individual campaigns to fulfill any rewards or perks offered as a result of their successful fundraising.

Visionary Fund provides a platform for crowdfunding campaigns, and we do not take any responsibility for the fulfillment of rewards offered by campaign creators. Campaign creators are solely responsible for ensuring that they can deliver the rewards they offer in a timely and satisfactory manner.

If a contributor experiences any issues with the fulfillment of rewards from a campaign, they should first reach out to the campaign creator for resolution. If the issue cannot be resolved between the contributor and the campaign creator, Visionary Fund may, at its sole discretion, take steps to assist in resolving the issue. However, Visionary Fund is under no obligation to do so and will not be held liable for any damages or losses incurred as a result of any issues with reward fulfillment.

By using the Visionary Fund platform, contributors acknowledge and agree to this fulfillment policy and release Visionary Fund from any and all liability related to reward fulfillment.
